1. Introduction Wealthfront Home Lending, LLC NMLS # 2358115 ("Wealthfront" ) is a residential mortgage lender available online and through mobile applications. |
1.1 Purpose We offer an automated platform to apply for residential home loans. Should you choose to become our Client, you will be able to submit an application for a new home loan or to refinance an existing home loan, and if you take out a home loan through Wealthfront Home Lending, LLC, we will enable access to view important details about your mortgage through Wealthfront. |
When you use our website and mobile applications you enter into a series of legally binding agreements. You also agree to our Privacy Policy which covers how we collect, use, share and store your personal information. |
1.2 Agreement When you access our website at www.wealthfront.com and/or our mobile applications ("our website" (which includes our blog), "our app" or "Wealthfront") as a User, you're agreeing to be bound by the following Terms of Use, and, if you've elected to become a Client, all the of terms and conditions related to the application for, and, if applicable, obtain a home loan through Wealthfront. If you also become a client of Wealthfront Advisers LLC and Wealthfront Brokerage LLC, you will be further subject to the relevant Terms of Use and Client Agreements, current versions of all such agreements can be found here. Please take the time to read the following binding Terms of Use below. Our website and app are owned and operated by Wealthfront Corporation, Wealthfront Advisers LLC, Wealthfront Brokerage LLC, and Wealthfront Home Lending, LLC. As further set forth in our Privacy Policy, information you share with Wealthfront may be shared with its affiliates and certain third parties. For the purpose of this agreement a User is an individual who uses our website or mobile application to evaluate our service, or for educational purposes, and a Client is an individual who commences an application for a home loan. This Agreement, as well as the Privacy Policy, applies to both Users and Clients. |
2. Obligations You must be 18 or older to access our website or mobile applications. You will keep your user name and password a secret. You will not share your account with anyone else. |
2.1 Eligibility Wealthfront is intended solely for individuals who are 18 or older. Any access to or use of Wealthfront by anyone under 18 is unauthorized, unlicensed, and in violation of these Terms of Use. By accessing or using Wealthfront, you represent and warrant that you are 18 or older. Limited exceptions to the minimum age may be made to legally emancipated minors. If you are a legally emancipated minor and wish to become a User or Client, please contact us at homelendingsupport@wealthfront.com or call (833) 523-3673. |
2.2 Your Access In order to access certain features of Wealthfront, you must register to create an account ("User Account"). When you register, you will be asked to choose a password, which you will be required to use to access your User Account. Wealthfront has physical, electronic and procedural safeguards that comply with federal standards to guard Users' and Clients' non-public personal information (Privacy Policy). You are responsible for safeguarding your password and other User Account information. You agree not to disclose your password to any third party and you will notify Wealthfront immediately if your password is lost or stolen or if you suspect any unauthorized use of your User Account. As a User, you agree that you shall be solely responsible for any activities or actions under your User Account, whether or not you have authorized such activities or actions. You acknowledge that in order to open and maintain a User Account, you must have a verifiable, United States-based mobile phone number that is capable of accepting SMS text messages for purposes of security verification as well as multi-factor authentication. You agree that the information you provide to us on account registration through our website or mobile applications will be true, accurate, and complete. It is your obligation to update your information as needed to ensure your information remains current and accurate while you remain a Client. If you wish to develop enhancements to the Wealthfront service then you must do so via our "Partner Program" API. As used in these Terms, "APIs" means programmatic web APIs and associated tools and documentation that provide access to certain data displayed on our website or in our mobile applications. Access to our APIs requires you meet our Partner Program eligibility criteria and enter into a signed partnership agreement with Wealthfront. You may not scrape or copy information through any means (including crawlers, browser plugins and add-ons, and any other technology or manual work) as explained in Section 6.2. Expectations for application process |
2.3 Application Process Acknowledgement. Your Cooperation. Wealthfront endeavors to begin processing your application (which may include ordering a credit report, appraisal, title commitment and other necessary items) upon the submission of a full and complete home loan application. If you submit an application, you and any co-borrowers agree to cooperate in the application process (including submitting all required documentation in a timely manner) and if needed, to obtain information Wealthfront or its underwriters may need from third parties including but not limited to, your bank, employer, and current mortgage company. In addition, you agree to notify Wealthfront of any changes in any information previously submitted in connection with your application, or anticipated changes that could impact any information you submit in connection with your application. Co-Borrowers. If you and one or more co-borrowers submit a loan application, or request for pre-approval, there may be instances in which you have the ability to enter information about your co-borrower(s). If you provide Wealthfront with any information or documents concerning or supplied by your co-borrower(s), you represent and warrant that you have such co-borrower’s express permission and direction to provide such information to Wealthfront. You may not at any time hold yourself out to be your co-borrower(s) or any third party, and acknowledge that such action could be deemed fraudulent behavior. Reasonable Efforts. While Wealthfront will use all of its reasonable efforts to have your application fully processed and closed on or before any applicable rate lock expiration date (if any) and/or anticipated closing date, some processes are outside of our control. For instance, Wealthfront cannot be responsible for delays in loan approval or closing due to, as applicable: the untimely receipt of required documentation; your existing home not selling; matters disclosed on a title commitment or survey; any other matters beyond Wealthfront's reasonable control. Advanced Costs Policy. When you submit a loan application, Wealthfront will begin to process your application and, as a result, may advance on your behalf costs for certain third-party expenses. If you do not fully cooperate in or complete the application process (including submitting all required documentation in a timely manner), choose to withdraw your application, or choose not to close the transaction for any reason, Wealthfront reserves the right to require repayment of some or all of Wealthfront’s third party costs. |

2.4 Alerts, Notifications and Service Communications By creating a User Account, you automatically sign up for various types of alerts via e-mail and mobile notification. When logged in, you may customize, modify and in some cases deactivate alerts by adjusting the settings accordingly. During the home loan application process, you may receive SMS text notifications related to tasks and status. Additionally, if you elect to do so, there may be times in which you can communicate with your loan officer via phone or SMS. We never include your password in these communications, but we may include your name, or email address and information about your application or home loan if you are a Client. Anyone with access to your e-mail or mobile device will be able to view these alerts. You may unsubscribe from marketing oriented emails at any time. You may also opt-out of SMS messages at any time. Contact Methods And Opt-Out. By becoming a User, you agree to our Privacy Policy and Terms of Use, which includes your agreement to arbitrate claims related to the Telephone Consumer Protection Act. You also expressly consent by electronic signature to receive sales, marketing and other calls and texts, including those sent by any automated system or other means for selecting and dialing telephone numbers, or using an artificial or prerecorded voice message, from Wealthfront at the telephone number you provide, even if that telephone number is on a do-not-call list. Agreement to receive such calls or texts is not a condition of receiving services from us. You can opt-out of various contact methods by contacting us at homelendingsupport@wealthfront.com. |
3. Disclaimer and Limit of Liability Wealthfront cannot be held responsible for any lending or financial insights or recommendations provided to Users This is our disclaimer of legal liability. |
3.1 For a User who is not a Client You understand and acknowledge that the home loan rates or details you may obtain from information and insights provided by Wealthfront cannot be guaranteed and that Wealthfront cannot be held responsible for such recommendations. All lending decisions entail many factors and you may not be eligible for certain rates and/or terms. Home lending services may be offered to individuals who become clients, at the sole discretion of Wealthfront. Your election to engage our home loan services is subject to your explicit application for a home loan. You agree and understand that your use of Wealthfront is for educational purposes only and is not intended to provide legal, tax or financial planning advice. You agree as a User that you are responsible for your own home lending research and loan selection decisions, and except as otherwise provided for herein, Wealthfront will not be liable for decisions/actions you take or authorize third parties to take on your behalf based on information you receive as a User of Wealthfront or information you otherwise see on our website. |
3.2 Disclaimer of Warranties Your use of Wealthfront's Website, and the personal information you provide is at your sole discretion and risk. Wealthfront's Website and all materials, information, products and services included therein, are provided on an AS IS and AS AVAILABLE basis without warranties of any kind from Wealthfront. WEALTHFRONT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, RELATING TO WEALTHFRONT'S WEBSITE, CONTENT AND/OR USER INFORMATION, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COURSE OF DEALING OR COURSE OF PERFORMANCE. 3.3 Limitation of Liability IN NO EVENT SHALL WEALTHFRONT OR ANY OF ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF WEALTHFRONT, CONTENT AND/OR USER INFORMATION, INCLUDING BUT NOT LIMITED TO THE QUALITY, ACCURACY, OR UTILITY OF THE INFORMATION PROVIDED AS PART OF OR THROUGH WEALTHFRONT OR FOR ANY LENDING DECISIONS MADE ON THE BASIS OF SUCH INFORMATION, WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT WEALTHFRONT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION AND IN NO EVENT SHALL WEALTHFRONT'S CUMULATIVE LIABILITY TO YOU EXCEED U.S. $100. |

3.4 Indemnification If you make any unauthorized use of Wealthfront's Website or violate these Terms of Use: (a) you may be in violation of copyright and other laws of the United States, as well as applicable state laws, and may be subject to penalties, and (b) you may be responsible for damages caused to Wealthfront. You agree to indemnify Wealthfront and its affiliates, vendors and licensors, and all of the employees, officers, directors, agents and representatives of Wealthfront and its affiliates, vendors and licensors, against, and to hold all of them harmless from, all costs, claims, damages, expenses or other losses, including attorney's fees and court costs, that arise from or are related to your use of this Website and/or your breach/violation of or failure to comply with the Terms of Use. |
4. Termination |
You may request termination of your User Account at any time and for any reason if you have not consummated your home loan by sending an email with a request to withdraw your home loan application and terminate your User Account to homelendingsupport@wealthfront.com. If you have consummated your home loan, you may only terminate your User Account if Wealthfront has sold all of its interests in your home loan. Please email homelendingsupport@wealthfront.com to confirm if your request can be accommodated. We may terminate or suspend your access to Wealthfront, in our sole discretion, at any time for any reason without notice to you. Further, if we believe, in our sole discretion, that a violation of these Terms of Use has occurred, we may take any other corrective action we deem appropriate. We reserve the right to investigate suspected violations of these Terms of Use. We may seek to gather information from a user who is suspected of violating these Terms of Use (or from any other user) and you agree to provide us with such information. We will fully cooperate with any law enforcement authorities, regulatory bodies, or court order requesting or directing us to disclose the identity of anyone posting, publishing, or otherwise making available any User information, emails, or other materials that are believed to violate these Terms of Use. Any suspension, termination, or cancellation shall not affect your obligations to Wealthfront under these Terms of Use (including but not limited to ownership, indemnification, and limitation of liability), which by their sense and context are intended to survive such suspension, termination, or cancellation. |
5. Dispute Resolution If there is a legal dispute, it will take place in California Courts under California Law. |
You agree that these Terms of Use shall be governed by and interpreted in accordance with the laws of the State of California, U.S.A. excluding that body of law pertaining to conflict of laws. Any legal action or proceeding arising under these Terms of Use will be brought exclusively in courts located in San Francisco, California, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. |

7. Account Information from Third Party Sites |
Users may link their accounts with third-party financial institutions with which they have customer relationships, maintain accounts or engage in financial transactions and direct Wealthfront to retrieve and display information from these accounts (“Account Information”). Wealthfront works with one or more third-party service providers to access this Account Information. By linking these accounts or directing Wealthfront to retrieve your third-party Account Information, you are consenting to the processing of your Account Information, and other personal information you provide that is needed to retrieve your Account Information, such as credentials, by Wealthfront and such service provider(s) in connection with providing this service in accordance with our Privacy Policy and as permitted by law, and, if you’ve elected to become a Client, you are consenting to the use of your Account Information by Wealthfront and its affiliates in connection with the management of your Wealthfront account. Wealthfront does not review the Account Information for accuracy, legality or non-infringement. Wealthfront is not responsible for the Account Information or products and services offered by or on third-party sites. Wealthfront cannot always foresee or anticipate technical or other difficulties which may result in failure to obtain data or loss of data, personalization settings or other service interruptions. Wealthfront cannot assume responsibility for the timeliness, accuracy, deletion, non-delivery or failure to store any user data, communications or personalization settings. Displayed Account Information is only as fresh as the time shown, which reflects when the information was obtained from third-party sources. |
8. Shared View Features |
If you apply for a home loan with a co-borrower and/or hold a joint account at Wealthfront with another Wealthfront client, you and your co-borrower or co-owner may have access to (i) a shared tasks list where you and your co-borrower(s) can upload and view the status of tasks related to your home loan application and your home loan; and/or (ii) a shared view feature, where you can link and share certain of your Wealthfront accounts, external accounts, and other financial accounts that you own either individually or jointly with your co-owner for the purposes of viewing aggregated financial information. By applying for a home loan with one or more co-borrowers, you authorize Wealthfront to share with your co-borrower(s), for the duration of your relationship with Wealthfront Home Lending, LLC, certain personal information collected from you or uploaded by you, including your name, the name of the linked financial institution, the name of your linked account, the last 4 digits of your linked account number, and the linked account’s balance, the documents you upload in connection with your loan application, results of decisions about your credit, or any other information shared by you or with you in connection with your application for a home loan or the ongoing maintenance of a home loan you received from Wealthfront Home Lending, LLC. By linking and sharing an account to a shared view, you authorize Wealthfront to share with your co-owner, for the duration such account is rightfully linked, certain personal information collected from you, including your name, the name of the linked financial institution, the name of your linked account, the last 4 digits of your linked account number, and the linked account’s balance. Further, by linking and sharing an account to your shared view, you acknowledge, represent, and agree that you will not link or share any account that you co-own with a third-party who is also a Wealthfront client and you will only link and share accounts and information that you own and have the authority to share. |
9. General Terms Some other important details about the Agreement |
In the event that any provision in these Terms of Use is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of a party to enforce any right or provision of these Terms of Use will not be deemed a waiver of such right or provision. You may not assign this Agreement (by operation of law or otherwise) without the prior written consent of Wealthfront, and any prohibited assignment will be null and void. Wealthfront may assign this Terms of Use Agreement or any rights hereunder without your consent. The relationship of the parties under these Terms of Use is that of independent contractors, and these Terms of Use will not be construed to imply that either party is the agent, employee, or joint venture of the other. Note that if you elect to become a Client, the relationship of the parties will be governed by these Terms of Use, our Privacy Policy and any additional terms to which you agree when you apply for and obtain a home loan. Further, if you become a client of Wealthfront Advisers and Wealthfront Brokerage, your relationship with those parties will be governed by the agreements you enter into at the time of applicable account opening. We reserve the right to change this Agreement by posting a revised Terms of Use and we agree that changes cannot be retroactive. If you don't agree with these changes, you must stop using Wealthfront. You agree the only way to provide us legal notice is at the address provided in Section 11.5. |
10. International Use Wealthfront is only for use in the United States |
Wealthfront is only available for use in the United States. We make no representation that Wealthfront is appropriate or available for use outside the United States. Similarly, we make no representations that accessing Wealthfront from locations outside the United States is legal or permissible by local law. If you access Wealthfront from areas outside of the United States, you do so at your own risk and are yourself responsible for compliance with local laws. |
11. Miscellaneous This Agreement takes priority over previous agreements |
11.1 Integration & Severability This Agreement is the entire agreement between you and us with respect to Wealthfront, and your use of our website and mobile app, and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and us. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. |
Loan offers and credit decisions are made to Clients on an individual basis and may differ based on specific circumstances. |
11.2 Offers and decisions may differ You understand and agree that we and our personnel may make offers and take action for other Clients that may differ from the loan offers and/or credit determinations we make for you. Every person’s financial, geographical, and personal circumstances are unique and Wealthfront makes no representations that you will be eligible for any offer made to another Client. |

11.3 Communication General Communications. You agree that these Terms of Use and the rules, restrictions, and policies contained herein, and Wealthfront's enforcement thereof, are not intended to confer and do not confer any rights or remedies on any person other than you and Wealthfront. These Terms of Use together with the Wealthfront's Privacy Policy and other loan or client agreements (if applicable) constitute the entire agreement between Wealthfront and you with respect to the subject matter hereof. Any notice or other communication to be given hereunder will be in writing and given by (a) Wealthfront via email (in each case to the address that you provide), or (b) you via email to homelendingsupport@wealthfront.com or to such other addresses as Wealthfront may specify in writing. The date of receipt shall be deemed the date on which such notice is transmitted. Time Sensitive Matters. When communicating with us through the Website, chat or via Email, do not use chat or Email to communicate any time-sensitive instructions that are in any way related to or affect your loan, loan application or closing (such as interest rates locks, cancellation of a closing, rescissions, or the like). Such instructions may not be honored. Please follow all instructions from Wealthfront and your Loan Officer for the appropriate channel to submit time sensitive information. All transactions conducted on this Website, chat or via Email, must be confirmed in writing by us to be accepted by and binding upon us. Loan Approvals. All loan approvals, qualifications, rate locks, lender credits, and the like, are only made by Wealthfront in writing. Approvals and qualifications are conditional in accordance with their terms except as may be specifically provided for in writing signed by Wealthfront. E-Signature. General communications through this Website, chat or via Email are not intended by us to constitute either an electronic record or an electronic signature, or to constitute any agreement by the sender to conduct a transaction by electronic means, unless a specific statement to the contrary is included in the message and specific e-signature procedures are employed. However, your assent to a "click to accept" button or box is binding upon you as if you had placed your signature. Recording & Monitoring of Communications. Your communications with us via the Website, chat, Email, SMS text, and telephone may be recorded or monitored and by using such communications methods you are consenting to the recording or monitoring of the same. |

You agree, however, that (i) by submitting unsolicited ideas to Wealthfront or any of its employees or representatives, by any medium, including but not limited to email, written, or oral communication, you automatically forfeit your right to any intellectual property rights in such ideas; and (ii) such unsolicited ideas automatically become the property of Wealthfront. You hereby assign and agree to assign all rights, title, and interest you have in such feedback and ideas to Wealthfront together with all intellectual property rights therein. In addition, you warrant that all moral rights in any feedback have been waived, and you do hereby waive any such moral rights. |
